Mrowiec Fiałek and Partners advised Value4Capital, a private equity fund, on the sale of operations of Konsalnet group in the area of persons and assets security comprising manned guarding, GPS monitoring, technical security systems and monitoring.
The transaction did not include the operations of Konsalnet group in the area of cash processing and convoying.
Konsalnet Holding S.A. is a holding company for the group of companies operating in the area of persons and assets security providing a wide scope of services including manned guarding, GPS monitoring, technical security systems and monitoring.
The purchaser is Separgefi, a strategic investor, offering widely understood services of persons and assets security, a company of Seris Group from France.
Seris Group is one of the security services market leaders in Europe with subsidiaries in Belgium, the Netherlands and Luxembourg, it also operates in Africa, North America, South America and Middle East.
Mrowiec Fiałek and Partners provided comprehensive legal advice on the transaction, which included preparing the company to the transaction, structuring the transaction, spinning-off the sold assets, conducting the sale as well as negotiating and executing the transaction documents.
The transaction shall be completed upon the satisfaction of the agreed conditions, including obtaining the consent of the President of the Competition and Consumers Protection Office.
